AvePoint completes SG$260 million public offering with Cooley’s legal counsel

Cooley advised AvePoint, a company listed on Nasdaq under the symbol AVPT and known for its work in data security, governance, and resilience, on its SG$260 million underwritten public offering of common stock. The offering was registered with the US Securities and Exchange Commission (SEC) and involved a concurrent listing on the Mainboard of the Singapore Exchange Securities Trading Limited (SGX-ST).

AvePoint sold 13,290,360 shares at SG$19.50 per share. The underwriters have a 30-day option to purchase up to an additional 1,993,550 shares. Trading of AvePoint’s common stock began on the SGX-ST at 9:00 am Singapore Time on September 19, 2025, using the symbol AVP. This transaction is notable as it represents the first SEC-registered offering priced in Singapore dollars and exclusively listed and settled on the SGX-ST.

Jefferies, Morgan Stanley & Co., Oversea-Chinese Banking Corporation Limited, and UBS Securities served as joint global coordinators and joint bookrunners for this offering.

The Cooley team advising AvePoint included lawyers Tim Pitrelli, John McKenna, Steven Holm, Lukas Roth, Susan Choy, and international legal project manager Kannan Jhunjhunwala.

Cooley has worked with AvePoint since its Series B financing round in 2015 and also advised on its de-SPAC transaction for Nasdaq listing in 2021.
