Milbank LLP has played a crucial role in advising Qualco Group S.A. on its initial public offering and subsequent listing on the Athens Exchange. The transaction involved both the offering of new ordinary registered voting shares by Qualco and existing shares by shareholders Amely S.à r.l. and Wokalon Finances Limited. This move marks an important milestone for Qualco as it enters the Regulated Securities Market of the Athens Exchange.

The structure of this transaction was a combined offering of shares to the public in Greece and to institutional investors outside Greece through a private placement. In the United States, qualified institutional buyers participated under Rule 144A of the U.S. Securities Act of 1933, while international investors engaged in compliance with Regulation S of the same act.

Qualco, as part of its growth trajectory over 25 years, has established itself as a significant provider of financial technology solutions globally. With services that include technology-enabled platforms, data-driven analytics, and customized digital experiences, Qualco Group supports over 140 clients across more than 30 countries.

The advisory team from Milbank was led by several partners and associates who contributed their expertise to ensure a successful transaction.
