Mintz closes record year with $5.6 billion in sustainable energy deals

Mintz’s Sustainable Energy & Infrastructure Practice reported advising on $5.6 billion in energy and infrastructure deals during 2025, completing more than 60 transactions over the year and surpassing 200 transactions in the last three years. The practice also marked its twentieth anniversary since becoming the legal industry’s first integrated group focused on the energy transition.

Burton, III, Chair of Mintz’s Sustainable Energy & Infrastructure Practice, commented on the current state of the market: “The defining issue for our clients today isn’t whether the market will grow, it’s whether enough power and infrastructure can be delivered to keep pace with demand. In 2025, helping clients respond to that demand was central to the ambitious and complex projects we supported across energy, innovation, and infrastructure. As we enter our third decade, that momentum is driving even larger and more sophisticated opportunities, and our fully integrated team remains focused on turning emerging opportunities into results for clients on a global scale.”

Among notable transactions in 2025 was Mintz’s role as lenders’ counsel to the US Department of Energy Loan Programs Office in financing major projects. This included a $1.67 billion loan guarantee to Montana Renewables for expanding its facility to produce sustainable aviation fuel (SAF), renewable diesel, and bio-naphtha—set to become North America’s largest SAF facility once operational. The transaction involved drawing DOE loan funds under both previous and current federal administrations.

The firm also advised Hanwha Q Cells Georgia in securing a $1.45 billion loan guarantee for building an integrated solar manufacturing facility capable of producing 3.3 GW annually of photovoltaic components—the largest such complex in the United States.

Mintz represented HPJV1 in selling its entire equity interest in Linden Cogeneration—a nearly 1 GW natural gas-fired plant serving New York City—to Electricity Generating Public Company Limited (EGCO). The cross-border transaction required navigation of FERC, CFIUS, and tax matters.

Other key engagements included advising Mitsui & Co. on clean energy projects like a major offshore wind initiative in Japan and a large-scale solar-plus-storage project in Texas; representing Antora Energy as lead counsel for an industrial thermal battery project; supporting S2G Investments’ $40 million equity financing for Sojo Industries; assisting UbiQD with Series B financing led by Phoenix Venture Partners along with its acquisition of BlueDot Photonics; guiding Canaccord Genuity through public offerings involving Dragonfly Energy Holdings Corp. and Arbe Robotics; facilitating Activate Capital Partners III’s investment in Aerones Holdings; supporting Spring Lane Capital’s investment in Soluna Holdings for renewable-powered data centers; working with Perch Energy on a joint venture managing community solar capacity; advising Cambrian Water Holdings on an acquisition related to defense technology; and providing guidance to a leading energy company regarding Massachusetts nuclear legislation.

In digital infrastructure, Mintz helped deploy high-capacity systems nationwide by structuring project financing for data centers and advising institutional investors on repositioning industrial assets for next-generation connectivity needs.

On regulatory matters, Steven Shparber led Mintz’s representation before FERC—including work tied to Orders No. 2023 and 1920—and secured favorable outcomes or settlements for developers, asset managers, and private equity funds involved in Federal Power Act Section 206 proceedings.

Nuclear energy remained an area of focus as technological advancements drive renewed interest globally. Mintz has advised sponsors, investors, and developers on various nuclear-related projects from traditional reactors to small modular designs as well as medical isotope production.

To foster innovation within the sector ecosystem, Mintz convened leaders at events such as its Fourth Annual Energy Transition Summit featuring David Crane of Generate Capital as keynote speaker. The team provided insights into implementing new FERC interconnection reforms under Order 1920 and continued supporting intellectual property strategies for innovative companies through industry sessions hosted at MIT.
