Morgan Lewis has advised Nebius Group N.V. on its acquisition of Tavily, a company specializing in agentic search solutions. This move is expected to enhance Nebius’s cloud platform by adding real-time search infrastructure for AI agents, targeting the expanding agentic AI sector.
The transaction comes after Nebius completed agreements with Meta and Microsoft in late 2025, as well as major equity and debt financings. Morgan Lewis also provided counsel on those previous deals.
Nebius Group is based in Amsterdam and listed on Nasdaq. The company operates research and development centers across Europe, North America, and Israel. Tavily, headquartered in New York, supplies agentic search services to Fortune 500 companies and leading AI firms.
The legal team from Morgan Lewis working with Nebius included partners Tim Corbett and Benjamin Wills, along with associates G.T. Harris and Andrew LeDonne.
“Nebius’s acquisition of Tavily extends our capabilities for delivering real-time search infrastructure to support the next generation of AI agents,” said a spokesperson for Nebius Group.
