Holland & Knight has provided legal counsel to Redwire Corporation, a prominent aerospace and defense technology firm, in its acquisition of Edge Autonomy Intermediate Holdings, LLC and its subsidiaries. The transaction, valued at $925 million, was finalized on June 13 following approval from Redwire’s stockholders.

This acquisition positions Redwire as a significant player in the space and defense technology sector, emphasizing integrated autonomous operations for defense and national security. The merger aims to enhance Redwire’s capabilities in delivering innovative space and airborne platforms.

The financing for this acquisition included a $90 million loan facilitated by TCBI Securities, Inc., operating as Texas Capital Securities, JPMorgan Chase Bank, N.A., Bank of America, N.A., and Truist Bank. Additionally, the agreement includes an unsecured promissory note amounting to $100 million as part of the cash consideration.

Edge Autonomy is headquartered in San Luis Obispo, California. It specializes in uncrewed airborne system (UAS) technology and provides advanced optics and energy solutions to various U.S. government agencies and international clients.

Redwire operates out of Jacksonville, Florida with approximately 1,300 employees across the United States and Europe. The company focuses on developing advanced technologies that transform multi-domain operations.
