Ropes & Gray has provided legal counsel to TSG Consumer Partners in its acquisition of EoS Fitness. The announcement was made on May 12, though the financial details remain undisclosed.

EoS Fitness is recognized for offering high-value, low-cost gym memberships across a broad demographic of fitness enthusiasts. It boasts over 1.5 million members and operates more than 175 locations in states including Arizona, Florida, Georgia, Nevada, Southern California, Texas, and Utah.

This acquisition adds to TSG Consumer’s portfolio within the fitness sector. The firm has previously invested in notable brands such as Planet Fitness and Sunshine Fitness.

The Ropes & Gray team assisting TSG Consumer was led by private equity partner Sandy Boer and associate Andrea Daley. The team also included partners Megan Baca (IP transactions), Pam Glazier (tax), Alex Zeltser (private equity), Zak Goodwin (litigation & enforcement), Kyle Higley and Richard Kidd (employment, executive compensation & benefits), Peter Alpert (real estate investments and transactions); counsel Daniel Lee (private equity), Effie George Floyd (real estate investments and transactions), Steve Kaye (litigation & enforcement) and Emilia Cannella (IP transactions); as well as associates Merry Sheehan and Tatum Wheeler from the private equity division.
