White & Case advises Deliveroo on £2.9 billion acquisition by DoorDash

Global law firm White & Case LLP is providing legal advice to Deliveroo plc on its £2.9 billion all-cash acquisition by DoorDash, Inc., a company listed on the NYSE. The transaction is described as a landmark UK deal and part of a strong trend in FTSE public M&A activities.

White & Case partner Guy Potel, who co-led the firm’s team for this deal, remarked, “This landmark UK transaction is the latest in a strong run of FTSE public M&A deals on which White & Case has advised. It represents a significant cross-border public M&A deal in the consumer technology sector and the highest value UK public takeover in 2025.”

The acquisition will be executed through a UK scheme of arrangement. White & Case’s role includes advising Deliveroo on various legal aspects such as public M&A structuring, strategic board advice, compliance with the UK Takeover Code and public securities laws, antitrust and FDI considerations, and employment issues.

Di Yu, another partner at White & Case who co-led the deal team, stated, “As lead corporate counsel to Deliveroo, we have forged a strong relationship with this important client and the sale to DoorDash extends the ongoing support that White & Case provides to Deliveroo as it pursues its key business goals.” Di Yu also highlighted their previous involvement earlier this year in advising Deliveroo on its strategic sale of certain assets in Hong Kong to foodpanda and closing its remaining operations there.

Deliveroo is headquartered in London and operates across several countries including the UK, Ireland, Singapore, France, Belgium, Italy, Kuwait, Qatar, and the UAE. The company collaborates with approximately 176,000 restaurants and retail partners along with over 130,000 riders aiming to deliver an exceptional on-demand service.

The advisory team from White & Case comprises partners Guy Potel and Di Yu based in London; Marc Israel and Nicholas Greenacre also from London; counsel Samuel Marriott (London) and Kate Kelliher (London & Brussels); along with associates Johanna Wagner, Katie Bolger, Iman Algubari, Conor Magee (all London), and Joao Lacerda (London & Brussels). They are working closely with Deliveroo’s General Counsel Chantelle Zemba and her team.
