Global law firm White & Case LLP has served as the exclusive counsel for XX ZW Investment Group S.A., a Luxembourg-registered entity, in its sale of shares in XTB S.A. The transaction, executed through an accelerated book-building process, is valued at over PLN 733 million.
The sale involved more than 9.4 million shares priced at PLN 78 each, constituting eight percent of XTB’s total share capital. Despite this transaction, XX ZW Investment Group retains a significant presence as a strategic investor with a 35.78 percent stake in XTB.
The shares were made available exclusively to selected qualified investors both within Poland and internationally outside the United States under Regulation S of the US Securities Act of 1933. In the United States, they were offered to qualified institutional buyers as defined under Rule 144A of the same act.
Santander Bank Polska S.A. – Santander Biuro Maklerskie, BANCO SANTANDER S.A., and UBS AG London Branch acted as Global Coordinators and Joint Bookrunners for this transaction.
