Global law firm White & Case LLP has advised Samsung Electronics on its acquisition of FläktGroup for €1.5 billion. The German-headquartered FläktGroup, a provider of heating, ventilation, and air-conditioning (HVAC) solutions, was acquired from funds advised by the German-Swedish investment company Triton. Triton had acquired FläktGroup in 2016.
“This transaction underlines our comprehensive, cross-border capabilities in complex transactions in future technologies, which also require extensive regulatory advice to meet the diverse legal requirements of various jurisdictions,” stated Tobias Heinrich, a partner at White & Case who co-led the firm’s deal team.
The completion of this transaction is anticipated by the end of 2025 and awaits approval from relevant authorities. This move aims to bolster Samsung Electronics’ capacity to address the growing demand for data centers that necessitate reliable cooling systems. Technologies such as artificial intelligence, robotics, autonomous driving, and XR rely heavily on complex data server infrastructure.
Samsung Electronics is part of Korea’s Samsung Group, recognized as one of the largest electronics companies globally. It is a leading manufacturer in sectors including DRAM, NAND flash memory, SSDs, televisions, refrigerators, and smartphones.
FläktGroup was founded over a century ago and is renowned for manufacturing HVAC systems with operations employing 3,500 people across 65 countries.
The White & Case team advising on this transaction included partners Tobias Heinrich (Frankfurt) and Dongho Lee (Seoul), along with other partners from Düsseldorf, Berlin, Frankfurt, New York City, London and local partners from Seoul to Istanbul.
